What a company is actually reserving

A deposit only makes sense when everyone can identify the vehicle or order it relates to. Start with a written quotation that names the model and configuration, and ask whether the proposed car is already in stock, expected from an incoming shipment, or still to be ordered. Those are different situations for a business purchase: the estimated handover date, ability to change the specification and the purpose of a reservation may differ.

Deposit amount and purpose

Ask for the deposit amount in the currency of the proposed transaction and what the payment does. Does it hold an identified vehicle while your company completes approval, contribute to the purchase price, or start a special order? The answer should appear in the written offer or reservation agreement, together with the full quoted price and any remaining balance. Do not infer the deposit from a percentage used in another transaction.

Your finance team should also know who receives the money, what payment reference to use, and what document will acknowledge receipt. Match the payer name to the contracting company unless a different arrangement is expressly agreed. Keep the quotation, reservation terms, invoice or payment request, and proof of transfer together. This record helps both sides identify the transaction if the vehicle choice or timing changes.

How long the reservation lasts

A reservation needs a clear start and end. Ask whether the holding period begins when the agreement is signed, when a payment is received, or when the dealer confirms the reservation. Write down the expiry date and time, along with any action your company must complete before then, such as signing a purchase contract or paying the balance. A request for a quotation alone should not be treated as a hold.

Corporate approvals can take longer than an individual buyer expects. If a board decision, leasing approval or bank transfer is pending, raise that timing before placing a deposit. Ask whether an extension can be agreed and how it would be documented. If there is no extension, determine what happens at expiry: whether the car is released, whether the deposit is returned, and whether a fresh quotation would be needed.

Refundability, cancellation and changes

The word “deposit” does not by itself answer whether money is refundable. Before paying, ask for the specific rules if your company cancels, if approval is denied, if delivery timing changes, or if the vehicle cannot be supplied as described. Clarify any deductions, the method and timing of a refund, and which party must send notice. Conditions may differ for a vehicle already available and one ordered to a chosen specification; rely on the terms offered for your transaction.

Decide what happens if the company wants another colour, configuration or model after reserving. Can the same payment be applied to another vehicle, or does the existing reservation end? Ask for any change to be acknowledged in writing. If cancellation or refund later becomes necessary, retain the signed terms, correspondence, payment proof and the dated notice you sent. A phone conversation can start a discussion, but a written record is easier for procurement and accounting to follow.

Does the reservation lock the price?

A hold on a vehicle and a fixed sale price are separate commitments. Ask whether the quotation fixes the total purchase price until a stated date, which items are included, and what might change before the final contract. For a company, the comparison should use the same vehicle configuration and the same scope of costs. If registration, insurance, accessories or another service is outside the quoted amount, show it separately in the internal budget.

Also clarify the currency, payment schedule and the date by which the balance must be paid. If a financing or leasing route is being considered, ask which parts of the vehicle offer depend on financing approval. A deposit should not be assumed to guarantee financing or a monthly payment. Get an updated written quote if the model, configuration or delivery plan changes before the company signs the final purchase documents.

Company eligibility and internal approval

Identify the legal entity that will buy or lease the car before requesting the reservation paperwork. Your own team should check who has authority to approve the spending, sign the agreement and instruct payment. Where a group company will pay for another entity, raise that structure early so the documents and accounting treatment can be aligned.

A useful internal approval note records the vehicle identification, quoted price, deposit, expiry date, refund and cancellation rules, expected payment dates and the person responsible for the decision. If there is a leasing provider, coordinate its approval timeline with the reservation deadline. This short review can prevent a deposit being sent before the authorised signatory has accepted the commercial terms.

A practical sequence before payment

First, choose the intended vehicle and request a current written quotation. Next, read the reservation terms against the points above: amount and purpose of payment, start and end of the hold, price validity, refund events, cancellation procedure and documents that confirm the booking. Then obtain internal approval from the people responsible for the purchase and payment. Transfer funds only using the agreed details and keep the receipt with the signed or accepted terms.

After payment, ask for written confirmation identifying the vehicle or order and the reservation deadline. Put that deadline in the procurement calendar. If the company needs a change, request it before the hold expires and keep the revised confirmation. This sequence is useful whether you are selecting one executive car or coordinating several vehicles; each vehicle should be identifiable in the paperwork.
